- Handling board formation matters and ensuring corporate and commercial compliance, including the establishment of internal processes and workspace policies.
- Working closely with founding teams to structure founder stock in a manner that protects the interests of the entity while minimizing potential conflicts between the company and outside investors.
- Drafting various agreements for day-to-day operations such as employment contracts, board advisory agreements, consulting agreements, non-solicitation agreements, asset purchase agreements, and more.
- Developing processes and policies to safeguard your intellectual property and providing counselling on the transfer of intellectual property from founders, universities, and other third parties to your entity. We also provide advisory on ensuring compliance with applicable laws and exploring exemptions and opportunities for venture-related intellectual property.
- Assisting with ideation and implementation to establish a comprehensive IP portfolio management strategy for your entity including but not limited to securing registrations for copyright, designs, patents, and trademarks; devising IP ownership structures aimed at maximizing IP value; and IP enforcement.
- Counselling founders on and executing employee benefits schemes such as an employee stock option plan, a phantom plan or similar schemes to ensure the distribution of equity among team members as a retention mechanism.
- Counselling founders on their legal rights and options to determine the best way to proceed in the event of a founder dispute. We also represent the interests of the founder or the company in any mediation or negotiation with the objective of achieving an equitable resolution.
